Hereinafter referred to as the “Seller” or the “Company”.
Of the first part,
And the natural or legal person purchasing products or services from the Company,
Hereinafter referred to as the “Buyer” or the “Client”
Of the second part,
PREAMBLE
The Seller’s business includes the sale of decorative items, lighting, furniture, accessories, as well as interior design consultancy services aimed at consumers, marketed through its website http://www.moodbox.fr. The Goods and Services offered by the Company, along with their respective descriptions, can be consulted on the aforementioned website.
Article 1 – Definitions
For the purposes of interpretation and execution of this agreement, when capitalised, the following terms and expressions shall mean:

“Item”: the Goods and/or Services ordered by the Client,

“Good”: any item offered for sale on the Website,

“Order”: request for Goods or Services made by the Client to Moodbox and/or through its Website,

“General Terms and Conditions of Sale” or “GTCS”: these general terms and conditions of sale;

“Contract”: this document, including its preamble and annexes, as well as any amendment, substitution, extension or renewal arising from the agreement of the Parties;

“Basket”: list of items preselected by the Client on the Website with a view to placing an Order, as defined in Article 7 hereof;

“Price”: the unit value of a Good or Service, including all taxes but excluding delivery fees;

“Service”: any service offered for sale on the Website;

“Website”: the online sales site “www.moodbox.fr” used by the Seller to market its Goods and/or Services;

“Order Validation”: as defined in Article 7;

“Online Sale”: marketing of the Seller’s Goods and Services via the Website;
Any reference to the singular includes the plural and vice versa, any reference to one gender includes all genders. References to Articles are to Articles of this Contract unless otherwise specified.
Article 2 – Purpose
These General Terms and Conditions of Sale determine the rights and obligations of the parties in the context of the online sale of Goods and Services offered by the Seller on its Website.
Article 3 – General Provisions and Scope
These General Terms and Conditions of Sale (GTCS) apply to all sales of Products and Services made via the Company’s Website and form an integral part of the Contract between the Buyer and the Seller.
The Seller reserves the right to amend these terms at any time by publishing a new version on its website. The applicable GTCS are those in force at the date of payment (or first payment in the case of multiple payments) of the order. These GTCS can be consulted on the Company’s Website at the following address: http://www.moodbox.fr.
The Company also ensures that their acceptance is clear and unreserved by reiterating them to the Client before the Order Validation. The Client declares having read and understood these General Terms and Conditions of Sale, and where applicable the Special Terms and Conditions of Sale specific to a product or service, and accepts them without restriction or reservation.
In accordance with Articles L.111-1 and L.111-3 of the French Consumer Code, the essential characteristics and prices of Goods and Services sold electronically by the Seller are available on the Website. The Client acknowledges having received the advice and information necessary to ensure that the offer meets their needs.
The Client declares they are legally capable of entering into contracts under French law or legally representing the natural or legal person on whose behalf they are acting. Unless proven otherwise, the information recorded by the Company constitutes proof of all transactions.
Article 4 – Commencement and Duration
This Contract comes into effect on the date of Order Validation as defined in Article 7.
The Contract is concluded for the duration necessary to supply the Goods and Services, until the expiration of the guarantees and obligations owed by the Seller.
Article 5 – Prices
The prices of the Products or Services sold on the Website are listed per reference item or service.
The unit prices of the Products and Services sold on the Website are indicated in euros, inclusive of all taxes (VAT + any other applicable taxes), excluding specific delivery fees, and are clearly displayed on the description page of each Product and Service. The unit price is also shown in euros, inclusive of all taxes, excluding delivery fees, in the Basket and the order summary displayed at each step of the ordering process as described in Article 7. Delivery costs are borne by the Client. Delivery charges depend on the delivery method chosen by the Client and are indicated at the "Delivery Options" stage of the ordering process, as described in Article 7.
At the time of Order Validation, the total price payable by the Client is shown.
The Company reserves the right to change its prices at any time for future transactions. The validity period of the prices is determined by the Website’s updates.
Where applicable, for all products shipped outside the European Union and/or French overseas territories (DOM-TOM), the price is automatically calculated without tax on the invoice. Customs duties or other local taxes, import duties, or state taxes may be payable in certain cases. These duties and fees are not the responsibility of the Seller. They shall be borne by the Buyer and are the Buyer’s sole responsibility (declarations, payments to competent authorities, etc.). In such cases, the Seller advises the Buyer to seek information from the relevant local authorities.
The telecommunications costs required to access the Company’s websites are also borne by the Client.
Article 6 – Products and Services
The Goods and Services marketed by the Seller are those described on the Website at the time of consultation by the Client, subject to availability.
The essential characteristics of the Goods and Services and their respective prices are made available to the Buyer on the Website.
Although presented with the utmost care, the photos and descriptions of the Products and Services may contain errors, which shall not, in any event, engage the liability of the Seller.
The Seller offers handcrafted products made by hand, such as textile items, baskets, dishware, accessories, etc., which may show variations in shape, finish, shade and colour. These variations shall not be considered defects.
The parties agree that product illustrations or photographs offered for sale have no contractual value.
The Client confirms having received details of delivery charges as well as the terms of payment, delivery, and execution of the contract. This contractual information is provided in detail and in French. In accordance with French law, it is summarised and confirmed during the Order Validation as described in Article 7.
The Seller undertakes to fulfil the Client’s order only within the limits of available product stock. If not available, the Seller shall inform the Client.
Unless otherwise specified, the rights granted under these terms are only for the individual who signed the order (or the individual holding the email address provided).
Article 7 – Conclusion of the Online Contract
To place an order, the Client must follow the following specific and sequential steps:

The Client accesses the Website.

The Client browses the various descriptive pages of the Products and Services offered by the Seller and their available options.

The Client adds the desired Products and Services to the Basket using the “Add to Basket” button on each product/service page.

Once the selection is complete, the Client clicks the Basket icon (“My Basket”) in the navigation bar. The Basket shows the selected items, a brief description, quantities, total price including VAT for each item (excluding delivery), and the total basket price excluding VAT and delivery fees. The Client can amend their selection (increase/decrease quantities, remove/add items). To confirm the order, the Client clicks the “Proceed to Checkout” button — this is the first confirmation click.

The Client is directed to the “Delivery Address” step. They enter all necessary billing and delivery information: First name, Last name, Email, Address, City, Country, Postcode, Phone number. They can provide separate billing details. The order summary is shown again. To continue, the Client clicks “Continue” — the second confirmation click.

The Client proceeds to “Delivery Options” and selects a method. Again, the order summary is visible, with the subtotal, delivery fees, taxes, and grand total. The Client clicks “Continue” — the third confirmation click.

The Client reaches the “Payment” step. They select a payment method and see the order summary once more. They must tick the checkbox to confirm acceptance of the GTCS. They click “Submit” — this is the fourth and final confirmation click.

A confirmation message appears, showing the order number, total amount, selected payment method, and delivery address.
The Client also receives an email with the order summary, including the order number, date, payment method, delivery address, list of items, quantities, individual and total prices (excluding delivery), subtotal, delivery fees, taxes, and grand total including delivery.
The Client receives a separate email confirming shipment. Delivery is made to the address provided. In accordance with article 1316-1 of the French Civil Code, the Client agrees to provide truthful identification information.
An invoice is sent by email only.
In accordance with article L.122-1 of the French Consumer Code, the Seller reserves the right to refuse an order that is abnormal, made in bad faith, or for any other legitimate reason, such as an existing dispute concerning payment of a previous order.
Article 8 – Availability and Presentation
Orders will be processed within the limits of the Seller’s available stock or subject to supplier stock availability. The Seller agrees to fulfil the order only within the limits of product availability. If a product is unavailable, the Seller shall notify the Client and refund the corresponding part of the order.
If an item is unavailable for more than thirty (30) working days, the Client will be informed of the expected delivery timeframe and may cancel the order of that item upon request. The Client may then request a credit note or a refund for the amount of the item.
Article 9: Retention of Title Clause
The products remain the property of the Company until full payment of the purchase price has been made.
Article 10: Delivery Terms
10.1. Delivery Method
The Customer chooses one of the delivery methods offered by the Seller on the Website at step 5 of the Order process.
The Seller offers in-store pickup at the address specified for that purpose or home delivery to the address provided by the Customer during the Order process. For this, the Seller uses La Poste's Colissimo service. For bulky or oversized packages, the Seller may use another carrier such as DPD, DHL, UPS, or similar.
10.2. Delivery Address
Deliveries are only made within French territory.
The Customer must choose a delivery address located in France.
The Customer is solely responsible for any delivery failure due to an error in the delivery address entered during step 5 of the Order process.
10.3. Delivery Fees
Delivery fees may vary depending on the weight and volume of the package.
The delivery fees are indicated to the Customer before final validation of the Order, at the 'Delivery Options' step as described in Article 7.
10.4. Delivery Timeframes
Estimated delivery times are provided for each Product and Service on their respective description pages on the Website. These may vary depending on product stock availability.
In the event a Product is unavailable, the Seller commits to informing the Customer and reimbursing the portion of the Order concerned.
Delivery times are stated in working days and represent the average time required to prepare and ship an order within France. The countdown starts from the date the Seller confirms the Order.
Unless otherwise specified on the Product or Service page, the Products will be shipped no later than 8 days after the Order has been confirmed by the Seller, excluding weekends, public holidays, and school vacation periods.
When the Customer orders several Products with different delivery times, the delivery time for the Order will correspond to the longest estimated delivery time among the selected items.
10.5. Delivery Delays
A delivery delay does not automatically result in Order cancellation.
The Seller will inform the Customer by email of any expected delay. The Customer may cancel the contract in accordance with Article L.138-2 of the French Consumer Code. To do this, the Customer must send a cancellation notice to contact@moodbox.fr. If the Order has not been shipped when the Seller receives the cancellation notice, the Customer will be reimbursed within 14 days. If the Order has already been shipped, the Customer may refuse the parcel, and the Seller will refund both the payment and return costs within 14 days of receiving the returned, unopened package.
10.6. Order Tracking
The Seller provides a telephone contact (local call rate from a landline), listed on the Website and in the order confirmation email, for Order tracking purposes.
10.7. Order Inspection Upon Delivery
The Customer must inspect the package and its contents upon delivery. If necessary, they should express any concerns or refuse the package if it appears damaged. Any claims must be addressed to the carrier via registered mail with acknowledgment of receipt within 3 working days, excluding holidays. A copy must also be sent to the Seller.
In accordance with Article L.133-3 of the French Commercial Code, failure to comply with this timeframe forfeits any action against the carrier.
The Seller reminds that risk is transferred to the Customer once the package is physically received.
The Customer must verify that the delivered Products match the Order confirmation and are in the correct quantities. Any discrepancies must be reported by email to contact@moodbox.fr, indicating the Order number.
Article 11: Payment
Payment is due immediately upon placing the Order, including for pre-orders.
Payments can be made by Visa®, Mastercard®, American Express®, via the secure payment platform Stripe® or Paypal®. Cards issued outside of France must be international cards (Visa, Mastercard, or American Express).
The transaction is charged immediately upon authorization by the card issuer.
According to Article L.132-2 of the Monetary and Financial Code, a payment authorization by card is irrevocable.
By entering their card details during the Order, the Customer authorizes the Seller to debit the card for the total amount of the Order. The Customer confirms that they are the legal cardholder and authorized to use it.
In case of error or failed transaction, the sale is automatically canceled.
Stripe® and Paypal® record all financial transactions between the Customer and Seller.
Stripe® complies with the PCI DSS security standards and ensures high confidentiality of transmitted data, using SSL encryption, HSTS, and AES-256 encryption. Moodbox never has access to the Customer's banking information.
Article 12: Right of Withdrawal
In accordance with Article L.121-20 of the French Consumer Code, the consumer has a 14-day cooling-off period to withdraw from a purchase without providing a reason and without penalties, excluding return shipping costs.
The withdrawal period starts upon receipt of the product (or acceptance of service, where applicable).
Return costs are borne by the Customer, except in cases of Seller error or exchange.
Please note: Moodbox offers handcrafted products (textiles, baskets, ceramics, accessories…) which may include variations in shape, finish, or color. These are not considered defects. Photos are non-contractual and such variations are not grounds for free return.
To exercise the right of withdrawal, the Customer must contact Moodbox by email at contact@moodbox.fr or by mail at:

Returned items must be sent in their original condition and packaging (including accessories, manuals, etc.) and, if possible, with proof of purchase.
The refund will be issued once the returned item has been received, by bank transfer or check to the billing address.
Article 13: Warranties
The Seller provides two legal guarantees:
1. Conformity guarantee (Articles L.211-4, L.211-5, L.211-12 of the French Consumer Code)
2. Hidden defects warranty (Articles 1641 and 1648 of the French Civil Code)
These guarantees cover:
- Products that are not as described, defective, or unfit for their intended use.
- Hidden defects that render the product unusable or severely diminish its value.
Requests for refunds or exchanges must be made by mail to:

Reminder: handcrafted products with natural variations are not covered by the warranty unless they are genuinely defective.
Customers have 2 years from delivery to invoke these guarantees. Under the conformity warranty, no proof of defect is needed within the first 2 years. Under the hidden defect warranty, customers may request cancellation or a price reduction.
Article 14: Claims
Claims must be sent either:

Moodbox does not offer exchanges, only returns or refunds where applicable.
Only complaints regarding online purchases or warranties will be accepted.
Article 15: Intellectual Property Rights
All trademarks, products, images, illustrations, videos, texts, logos on the Website, the Products, their accessories, packaging, or any information protected by intellectual property rights remain the exclusive property of the Seller.
This includes domain names and software. No intellectual property rights are transferred through these Terms.
Any reproduction, modification, or use without prior written consent is strictly prohibited.
Article 16: Force Majeure
The Seller’s obligations are suspended in the event of a force majeure preventing fulfillment. The Seller shall inform the Customer as soon as possible.
Force majeure includes (but is not limited to): fire, epidemic, earthquake, bandwidth issues, internet outages, hacking, flooding, power failure, war, embargo, legal or governmental restrictions, strikes, or any circumstance beyond reasonable control.
Article 17: Severability and Contract Amendments
If any clause is found to be invalid, the rest of the contract remains in effect.
Contractual modifications are only valid with written agreement signed by both parties.
Article 18: Personal Data Protection
Personal data provided by the Customer is required for Order processing.
By accepting these Terms, the Customer agrees to the collection and use of their data for contract performance.
Customers may receive emails related to their order and promotional offers from Moodbox.
Data is never shared with third parties unless the Customer explicitly consents, and only if said third parties agree to comply with French data protection laws.
In accordance with the French Data Protection Law of January 6, 1978, Customers have the right to access, modify, or delete their personal data and to oppose its processing.

Article 19: Governing Law
These General Terms and all sales transactions referred to herein are subject to French law.
Article 20: Jurisdiction
Any dispute related to the formation, interpretation, or execution of this contract shall fall under the exclusive jurisdiction of the courts of the Hauts-de-Seine, notwithstanding multiple defendants or third-party claims.
